Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EEAB Studio platform, website, and the "AI Assistant" iOS application provided by EEAB Studio Limited. By creating an account or using the Service, you agree to these Terms. Please read them carefully, together with our Privacy Policy.

1.Acceptance of Terms

By accessing or using the Service, you ("you", the "Business Owner", or "Customer") agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service.

If you use the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

2.Definitions

• "EEAB Studio", "we", "us", "our" — EEAB Studio Limited (License No. MC 13993), Masdar City Free Zone, Abu Dhabi, United Arab Emirates.
• "Service" — the EEAB Studio AI assistant platform, the website and onboarding form at eeabstudio.com, and the iOS application "AI Assistant" (bundle identifier com.eeabstudio.aiassistant), collectively.
• "Business Owner" / "Customer" — the individual or entity that registers for and holds an account.
• "End-Customer" — an individual who interacts with the AI assistant deployed by a Business Owner.
• "AI Assistant" / "Pixie" — the AI-powered assistant that handles customer interactions on behalf of a Business Owner.
• "Credits" — prepaid units that are consumed when the Service generates responses or performs billable actions.

3.Eligibility

The Service is intended for business use by individuals who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old and are legally capable of entering into a binding contract. The Service is not directed at, and may not be used by, minors.

4.Description of the Service

EEAB Studio provides a platform that enables Business Owners to automate customer interactions across messaging channels including WhatsApp, Telegram, email, and webchat. Features may include automated responses, appointment booking, customer relationship management, segmentation, and related functionality. The AI Assistant iOS app provides Business Owners with administrative access to their account on mobile devices.

We may add, modify, or remove features of the Service at any time. We will make reasonable efforts to notify Business Owners of material changes.

5.Accounts and Registration

• You must provide accurate, current, and complete information during registration and keep it up to date.
• You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
• You must notify us promptly at ceo@eeabstudio.com of any unauthorized use of your account or any other breach of security.
• You are responsible for ensuring that any users you authorize comply with these Terms.

6.Credits, Fees, and Payment

• The Service operates on a prepaid Credit model. Credits are purchased through Paddle (Paddle.com Market Limited), which acts as our Merchant of Record and payment processor. We do not store full payment card details.
• Prices and Credit packages are as displayed in the dashboard at the time of purchase. We may change pricing prospectively; changes do not affect Credits already purchased.
• Credits do not expire. When your Credit balance is exhausted, the AI assistant pauses until you top up.
• Unless otherwise required by applicable law, payments for Credits are non-refundable. See our Refund Policy for details.
• You are responsible for any applicable taxes, duties, or levies associated with your use of the Service, other than taxes based on our net income.

7.Free Trial

We may offer complimentary Credits or a free trial to new Business Owners. Free trial terms (such as the number of included conversations) are described at sign-up. We may modify, suspend, or withdraw free trial offers at any time at our discretion.

8.Acceptable Use

You agree not to use the Service to, and not to permit any third party to:

• Violate any applicable law, regulation, or third-party right.
• Send unsolicited, spam, deceptive, or unlawful messages, or otherwise violate the policies of the messaging platforms you connect (including WhatsApp Business policies, Telegram terms, and email provider policies).
• Transmit malware, or attempt to gain unauthorized access to the Service or related systems.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by law.
• Resell, sublicense, or commercially exploit the Service without our prior written authorization.
• Use the Service to generate or distribute content that is harmful, harassing, defamatory, fraudulent, or infringing.
• Circumvent usage limits, security measures, or access controls.

9.Your Content and Data Protection Roles

You retain ownership of the content you provide to the Service, including business documents, price lists, and messages ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and use Your Content solely to provide and improve the Service.

You are responsible for the configuration of your AI assistant and for the content of the messages it sends on your behalf.

10.AI-Generated Content

The Service uses artificial intelligence, including third-party AI models, to generate responses and other output. AI-generated output may be inaccurate, incomplete, or otherwise unsuitable for a given purpose. You are solely responsible for reviewing AI-generated output and for any reliance you or your End-Customers place on it.

AI-generated output does not constitute professional advice (including legal, medical, financial, or tax advice). We do not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output.

11.Third-Party Services

The Service integrates with third-party services, including OpenAI, Pinecone, Amazon Web Services, Paddle, Telegram, 360Dialog (WhatsApp Business API), Nylas, Google, Apple, and Expo. Your use of those integrations may be subject to the relevant third party's own terms and policies.

We are not responsible for the acts, omissions, availability, or content of third-party services. You are responsible for complying with the terms of any messaging platform or other third-party service you connect to the Service.

12.Intellectual Property

The Service, including all software, design, text, graphics, the "Pixie" assistant, and all related intellectual property rights, is and remains the exclusive property of EEAB Studio Limited and its licensors. The EEAB Studio name, logo, and product names are trademarks of EEAB Studio Limited.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No rights are granted except as expressly set out in these Terms.

13.Confidentiality

Each party may have access to information of the other that is confidential. Each party agrees to protect the other's confidential information using reasonable care and to use it only as necessary to perform under these Terms. This does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.

14.Service Availability

We strive to keep the Service available and reliable, but we do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We may perform scheduled or emergency maintenance, and we may suspend or limit the Service where necessary to protect its integrity or security.

15.Suspension and Termination

• You may stop using the Service at any time and may delete your account from within the App (Settings → Danger Zone → Delete Account) or by contacting us.
• We may suspend or terminate your access, with or without notice, if you breach these Terms, use the Service unlawfully, fail to pay amounts due, or create risk or legal exposure for us or others.
• Upon termination, your right to use the Service ceases immediately. Handling of your data following termination is described in our Privacy Policy (including retention periods).
• Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

16.Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements or that any defects will be corrected.

17.Limitation of Liability

To the maximum extent permitted by applicable law, EEAB Studio Limited and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100).

18.Indemnification

You agree to indemnify, defend, and hold harmless EEAB Studio Limited and its affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content; (b) your use of the Service; (c) your interactions with End-Customers; (d) your violation of these Terms or any applicable law; or (e) your violation of any third-party right.

19.Changes to These Terms

We may update these Terms from time to time. When we do, we will update the version number and "Last Updated" date at the top of this page, and we will notify Business Owners by email if the changes are material. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes.

20.Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi, without regard to conflict-of-laws principles. Subject to any mandatory rights you may have under applicable law, the competent courts of Abu Dhabi will have jurisdiction over any dispute arising out of or relating to these Terms or the Service.

21.Apple App Store — Additional Terms

The following additional terms apply to your use of the "AI Assistant" iOS application obtained through the Apple App Store (the "Licensed Application"):

• These Terms are concluded between you and EEAB Studio Limited only, and not with Apple Inc. ("Apple"). EEAB Studio Limited, not Apple, is solely responsible for the Licensed Application and its content.
• Apple grants you no license other than the limited, non-transferable license to use the Licensed Application on Apple-branded products that you own or control, as permitted by the App Store Terms of Service and the Usage Rules set out therein.
• Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Licensed Application.
• In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Licensed Application.
• Apple is not responsible for addressing any claims by you or any third party relating to the Licensed Application, including product liability claims, claims that the Licensed Application fails to conform to legal or regulatory requirements, and claims under consumer protection or similar legislation.
• In the event of any third-party claim that the Licensed Application or your use of it infringes that third party's intellectual property rights, EEAB Studio Limited, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

22.Miscellaneous

• Entire agreement: These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
• No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure: We are not liable for any delay or failure to perform due to causes beyond our reasonable control.
• Relationship: The parties are independent contractors; these Terms do not create any partnership, agency, or employment relationship.
